Terms of Service
These Terms govern access to Candao, including marketplace listings, bookings, offer activation, wallet-enabled payments, rewards, referrals, AI-assisted features, communications, and related services.
Important Notice
By creating an account, connecting a wallet, adding funds, activating an offer, booking or purchasing through Candao, claiming rewards, or otherwise using Candao, you agree to these Terms. If you use Candao for a business, project, venue, host, seller, buyer, or other organization, you represent that you are authorized to bind that organization.
Candao may include digital assets, wallet transactions, token rewards, and third-party services. These features can involve market, technical, regulatory, tax, and security risks. Candao does not provide investment, legal, tax, or financial advice.
1. Candao Services
Candao provides a digital platform where users can discover, create, activate, promote, book, rent, sell, buy, communicate, manage marketplace activity, use AI-assisted tools, connect wallets, make payments, and receive eligible rewards. Candao may update, suspend, limit, test, or discontinue any feature at any time where needed for security, compliance, reliability, product quality, or business reasons.
Candao is a platform. Unless Candao expressly states otherwise in writing, users who list, sell, rent, host, perform, deliver, or provide an offer are responsible for their own goods, services, listings, availability, pricing, quality, safety, legality, taxes, refunds, cancellations, communications, and performance.
2. Eligibility and Accounts
- You must be legally able to enter into these Terms and use Candao only where lawful.
- You are responsible for accurate account, profile, listing, wallet, payment, tax, and contact information.
- You are responsible for protecting account credentials, devices, connected wallets, private keys, recovery phrases, and payment methods.
- Candao may require identity, seller, business, sanctions, fraud, payment, or eligibility checks before enabling certain features.
- You may not transfer, sell, share, or misuse an account in a way that creates security, fraud, spam, compliance, or marketplace integrity risk.
3. Listings, Bookings, Purchases, and Marketplace Conduct
Users are responsible for ensuring that each listing is accurate, lawful, non-deceptive, and up to date. Prices, availability, descriptions, images, policies, delivery terms, location details, rules, eligibility requirements, and cancellation terms must be clear before a transaction is accepted.
- Do not list or transact in illegal, unsafe, infringing, deceptive, stolen, counterfeit, restricted, or regulated items or services unless fully authorized and compliant.
- Do not manipulate rankings, reviews, referrals, rewards, wallet flows, payments, activation status, or marketplace visibility.
- Do not move a transaction off Candao to avoid platform protections, fees, taxes, compliance checks, or documented terms.
- Do not harass, threaten, discriminate, spam, scrape, reverse engineer, overload, or interfere with Candao or other users.
- Hosts, sellers, providers, and buyers must comply with all laws that apply to their listings, services, payments, taxes, permits, licenses, and users.
3A. Co-Branded Package Offers and Partner Approvals
Candao may help users create package offers that combine an owner listing with a partner product, service, venue, activity, media, logo, name, pricing, or promotional content. Package drafts remain previews until the required owner and partner approvals are recorded.
- A partner approval confirms that the approving user is authorized to approve the package for that business or organization.
- By approving, the partner permits Candao and the offer owner to display the approved partner name, media, logo, descriptions, and package details for that specific package offer.
- Each party remains responsible for the accuracy of its own pricing, availability, media rights, claims, policies, permissions, taxes, and legal compliance.
- Draft package pages may use AI-assisted estimates or extracted public information, but final public activation requires human review and approval by the responsible parties.
- Unless separately agreed, customer reservations for a package are visible to and managed by the original offer owner, while the partner receives access to the package page link and related approved collaboration context.
4. Offer Activation
Candao may allow users to activate offers so they become eligible for marketplace and map visibility, booking, renting, selling, promotional placement, wallet-enabled checkout, CDO rewards, and other activation benefits. Activation is not a guarantee of traffic, bookings, rentals, sales, revenue, ranking, profit, token value, or any specific outcome.
Activation pricing, discounts, deferred amounts, reward amounts, vesting, eligibility, and settlement details may vary by offer type, campaign, account status, payment method, chain, geography, and product configuration. If Candao shows that part of an activation amount may be settled later from Candao-generated income, that deferred settlement depends on actual eligible income generated through Candao and the applicable product rules. You remain responsible for reviewing the checkout summary before confirming activation.
Candao may delay, reverse, suspend, or deny activation benefits if it reasonably believes there is fraud, abuse, prohibited conduct, payment failure, chargeback risk, sanctions risk, listing ineligibility, technical error, or violation of these Terms.
5. Payments, Wallets, Funds, and Refunds
Candao may support fiat payment flows, external wallets, Candao Web Wallet flows, payment processors, on-chain transactions, stablecoins, or other supported methods. Available methods may change. You authorize Candao and its service providers to process payments, confirmations, refunds, reversals, chargebacks, compliance checks, and related records as needed to operate the services.
- Blockchain transactions may be irreversible and may involve network fees, delays, failed transactions, volatile asset values, bridge risk, wallet risk, and smart contract risk.
- Fiat payments, card payments, bank payments, onramp transactions, and wallet funding may be subject to processor terms, limits, fees, verification, disputes, reversals, and settlement delays.
- Users are responsible for entering correct wallet addresses, chain selections, payment amounts, and transaction confirmations.
- Refund eligibility depends on the applicable offer terms, payment method, transaction status, fraud review, legal requirements, and whether the service, booking, activation, reward, or digital benefit has already been delivered or used.
- Candao may withhold, offset, reverse, or recover amounts where required for refunds, chargebacks, fraud, compliance, duplicate credits, payment errors, or misuse.
6. CDO Rewards and Token Features
CDO rewards, balances, vesting displays, referral rewards, loyalty rewards, promotional credits, and similar token features are provided only as described in the applicable Candao flow. They are not bank deposits, stored value accounts, securities offerings, investment contracts, loans, dividends, interest products, or guarantees of value, liquidity, market access, exchange listing, resale, appreciation, or profit.
Candao may set eligibility, vesting, anti-abuse, regional, wallet, compliance, claim, expiration, and transfer rules. Candao may correct errors, claw back rewards obtained by fraud or abuse, and suspend token features where required for security, compliance, technical integrity, or marketplace protection. You are responsible for any taxes, reports, and legal obligations related to rewards or digital assets.
7. AI-Assisted Features
Candao may provide AI-assisted search, chat, recommendations, drafting, matching, analysis, or automation. AI outputs may be incomplete, inaccurate, outdated, or inappropriate for your circumstances. You must review outputs before relying on them, publishing them, making payments, entering into transactions, or taking legal, financial, safety, medical, employment, or business action.
8. User Content and Intellectual Property
You keep ownership of content you submit, such as listings, messages, profiles, media, reviews, prompts, offer details, and business information. You grant Candao a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, format, translate, analyze, distribute, promote, and use that content as needed to operate, improve, secure, and market Candao.
You represent that you have the rights needed for content you submit and that it does not infringe privacy, publicity, intellectual property, contractual, consumer protection, or other rights. Candao content, software, logos, designs, data, interfaces, and trademarks remain owned by Candao or its licensors, except for rights expressly granted.
9. Privacy, Communications, and Data
Candao may collect and process account, profile, listing, device, usage, transaction, wallet, payment, location, communication, referral, reward, and support data to operate the services, improve safety and quality, personalize experiences, comply with law, prevent abuse, and enforce these Terms. You consent to service messages, security notices, transactional notices, reward notices, support communications, and legally required notices.
You may not use another user's information except as necessary for a legitimate Candao transaction or as otherwise authorized by that user and applicable law.
10. Third-Party Services
Candao may integrate third-party wallets, payment processors, onramps, blockchains, APIs, maps, cloud services, communications tools, analytics, verification providers, and marketplace participants. Third-party services are governed by their own terms and policies. Candao is not responsible for third-party outages, fees, restrictions, decisions, security incidents, custody practices, transaction failures, or content except where required by law.
11. Suspension, Termination, and Enforcement
Candao may investigate, limit, suspend, terminate, remove content, cancel transactions, pause payouts, deny rewards, restrict wallet flows, or take other protective action if Candao reasonably believes there is fraud, abuse, security risk, payment risk, illegal activity, sanctions risk, regulatory risk, user harm, platform manipulation, or violation of these Terms. Where practical and legally permitted, Candao may provide notice or an opportunity to resolve an issue.
12. Disclaimers
Candao is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Candao disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, error-free operation, accuracy, profitability, revenue generation, marketplace performance, token value, and suitability of any user, listing, offer, booking, seller, buyer, provider, wallet, payment method, or third-party service.
13. Limitation of Liability
To the maximum extent permitted by law, Candao will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost profit, lost revenue, lost data, lost goodwill, business interruption, market loss, digital asset loss, wallet loss, or third-party damages. Candao's aggregate liability for claims arising from or relating to the services or these Terms will not exceed the greater of the amount you paid to Candao for the specific transaction giving rise to the claim in the three months before the claim or USD $100, unless applicable law requires otherwise.
14. Indemnity
You agree to defend, indemnify, and hold Candao harmless from claims, damages, losses, liabilities, costs, and expenses arising from your content, listings, offers, transactions, taxes, misuse of Candao, violation of law, violation of these Terms, infringement of rights, fraud, payment disputes, chargebacks, wallet activity, or interactions with other users or third parties.
15. Disputes and Governing Rules
You agree to first contact Candao and try to resolve any dispute informally. Unless mandatory local consumer law requires a different process, disputes must be brought individually and not as a class, collective, coordinated, or representative action. These Terms are governed by applicable law without regard to conflict-of-law rules. Courts, regulators, or arbitration forums with required authority may apply mandatory consumer, marketplace, payment, data, digital asset, or local laws.
16. Updates to These Terms
Candao may update these Terms as the services, laws, risks, or business needs change. The updated version will be effective when posted or when otherwise notified, unless a later date is stated. Continued use of Candao after an update means you accept the updated Terms.
